By accessing or using Reforge Studios' website subscription services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
Reforge Studios provides website design, development, hosting, maintenance, security, and ongoing support services through a monthly subscription model. Services include but are not limited to:
3.1 Subscription Plans: We offer various subscription plans with different features and pricing. Details of each plan are available on our pricing page.
3.2 Billing: Subscriptions are billed monthly. You will be charged the monthly subscription fee plus any applicable setup fees at the time of signup. Subsequent charges occur on the same day of each month. All prices are exclusive of applicable taxes, which will be added to your invoice based on your location and applicable tax laws.
3.3 Payment: Payment is due in advance for each billing period. We accept major credit cards and other payment methods as specified during checkout. You are responsible for maintaining valid payment information.
3.4 Cancellation: You may cancel your subscription at any time with 30 days written notice. Cancellation requests must be submitted through our support channels. Upon cancellation, services will continue until the end of your current billing period.
3.5 Refunds: Setup fees are non-refundable. Monthly subscription fees are non-refundable except as required by law. We do not provide refunds for partial months of service.
4.1 Setup Fee: A one-time setup fee is required to begin service. This fee covers initial design, development, and deployment work.
4.2 Timeline: Initial website development typically takes 2-4 weeks depending on the plan selected and project complexity. We will provide an estimated timeline during onboarding.
4.3 Content: You are responsible for providing all necessary content, images, and materials required for website development. Delays in providing content may extend the development timeline.
4.4 Revisions: Each plan includes a reasonable number of revision rounds during initial development. Additional revisions may incur extra charges.
5.1 Allocation: Your plan includes a specific amount of developer time each month. This time can be used for content updates, design changes, new features, bug fixes, and other development work.
5.2 Unused Time: Unused developer time does not roll over to subsequent months. Each month's allocation resets at the beginning of the billing cycle.
5.3 Exclusions: Routine maintenance, security updates, backups, and monitoring do not count against your monthly developer time allocation.
5.4 Overage: If you require work beyond your monthly allocation, additional time may be available at an hourly rate. We will obtain your approval before proceeding with billable overage work.
6.1 Your Content: You retain all rights to your content, including text, images, logos, and other materials you provide.
6.2 Website Code: While you own the content, the underlying code, structure, and design framework remain the property of Reforge Studios or our licensors. Upon cancellation, we will provide you with a full export of your website files and content.
6.3 Our Work: Reforge Studios retains the right to use your website as a portfolio example unless otherwise agreed in writing.
You agree not to use our services for any unlawful purpose or in any way that could damage, disable, or impair our services. Prohibited activities include but are not limited to:
8.1 Uptime: We strive to maintain high availability but do not guarantee 100% uptime. Scheduled maintenance will be performed with advance notice when possible.
8.2 Service Modifications: We reserve the right to modify or discontinue services at any time. We will provide reasonable notice of significant changes that affect your service.
8.3 Force Majeure: We are not liable for service interruptions due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
To the maximum extent permitted by law, Reforge Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
Our total liability for any claims arising from or related to these terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Reforge Studios, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, your content, or your violation of these Terms of Service.
11.1 By You: You may terminate your subscription at any time with 30 days written notice as described in Section 3.4.
11.2 By Us: We may terminate or suspend your account immediately if you breach these Terms of Service, engage in fraudulent activity, or fail to pay fees when due.
11.3 Effect of Termination: Upon termination, your right to use our services will immediately cease. We will provide you with a full export of your website files and content within 30 days of termination.
We reserve the right to modify these Terms of Service at any time. We will notify you of material changes via email or through our website. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Reforge Studios operates, without regard to its conflict of law provisions.
Any disputes arising from these Terms of Service or our services shall be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.
